1.Acceptance of Terms
By creating an account, integrating our APIs, or otherwise using any part of the 9th Swift platform (the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
2.Eligibility & Account Registration
To use the Services you must be at least 18 years old and legally capable of entering into a binding contract. Businesses must be duly registered in a jurisdiction where 9th Swift operates and complete our onboarding and KYC/KYB checks.
You agree to provide accurate, current and complete information during registration and to keep your account information up to date. You are responsible for all activity that occurs under your account.
3.Description of Services
9th Swift provides payment collection, checkout, payment links, settlement, and related financial tools delivered through our website, dashboard and APIs. Some Services are provided through licensed partners; where applicable, additional partner terms may apply.
We may add, modify or discontinue features from time to time. We will use reasonable efforts to notify you of material changes.
4.Fees, Settlement & Refunds
Applicable fees are published on our pricing page and may be updated with notice. Fees are deducted from transaction amounts prior to settlement unless otherwise agreed in writing.
Settlement timelines depend on the payment method and your risk profile. Refunds and chargebacks are handled in accordance with our operating procedures and applicable card scheme rules.
5.Acceptable Use
You agree not to use the Services for any prohibited activity, including but not limited to fraud, money laundering, sanctions evasion, sale of illegal goods, or any activity that violates applicable law or third party rights. We may suspend or terminate accounts we reasonably believe are engaged in prohibited activity.
6.Compliance & Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the Nigeria Data Protection Act (NDPA) and NDPR. Cardholder data is handled in accordance with PCI-DSS requirements. Our CBN license is pending; services are currently provided through licensed partners.
7.Disclaimers & Limitation of Liability
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
To the maximum extent permitted by law, 9th Tech Ltd. shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of your use of the Services. Our aggregate liability for direct damages shall not exceed the fees paid by you to 9th Swift in the twelve (12) months preceding the event giving rise to the claim.
8.Suspension & Termination
You may close your account at any time from your dashboard. We may suspend or terminate access to the Services or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or are engaged in high-risk or illegal activity.
Sections that by their nature should survive termination will survive.
9.Governing Law & Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will attempt to resolve disputes in good faith, failing which disputes shall be referred to arbitration in Lagos in accordance with the Arbitration and Mediation Act.
10.Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
